1 - Exploratory Meetings

Goal: Understand each other’s ambitions and fit

2 - Term Sheet

The term sheet outlines the key elements of the investment deal. Term sheets are non-binding, though may often require indicators of evidence that both parties intend to complete the investment, including:

- Valuation
- Description of rationale and intention
- Investment amount (primary vs. secondary)
- Corporate governance (BoD, voting rights, etc.)
- Process and timeline

3 - Due Diligence

This is a deep dive into your company’s operations, finances, and legal structure.

Phase 1: Commercial due diligence conducted by Viking Growth
Phase 2: Financial, legal and technical review conducted by external advisors

The process includes interviews with key team members and customers. As part of the due diligence we create a Value Creation Plan, which we plan to execute together.

4 - Negotiations


Governance determined by:

Shareholder Agreement (SHA) - a private, legally binding contract between a company's shareholders that outlines rules for running the business, defining shareholder rights, responsibilities, and share transfer restrictions.

Share Purchase Agreement (SPA) - a legally binding contract for buying or selling company shares.

5 - Fundraising and Closing

We raise capital through a network of trusted investors:

- Primarily family offices and high-net-worth individuals

- Deal-by-deal investment model: fundraising per investment

What we expect from you

Control of your financials

Annual Recurring Revenues (ARR), revenue breakdown, churn/expansion, profit & loss (P&L), and customer-level data.

A clear growth plan

Revenue targets and go-to-market strategy.

Openness to collaboration

We work closely with the CEO and CFO during the process, and need access to customer conversations to understand the business deeply.

Organized documentation

All contracts, board materials and cap table.
